Japan-based Sega Sammy Holdings Inc. has officially concluded its acquisition of Dutch iGaming content supplier Stakelogic B.V., confirming the deal’s closure on April 28, 2025. This follows the announcement made in July 2024, when the company disclosed plans to acquire Stakelogic through its subsidiary, Sega Sammy Creation Inc. (SSC).
Strategic deal adds European studio to Sega Sammy Portfolio:
The finalized acquisition turns Stakelogic into a subsidiary of Sega Sammy Holdings, marking a major step in the company’s push to expand its footprint in the global online gaming sector. As stated in Sega’s press release, the estimated purchase price was approximately €125 million (around ¥20.28 billion), with final adjustments to be made within six months. This valuation included Stakelogic’s enterprise worth, interest-bearing debt, working capital adjustments, and advisory costs totaling about ¥0.65 billion. When factoring in all fees, the overall transaction value stood at roughly ¥20.93 billion.
Sega Sammy said the financial implications for its consolidated earnings are still under review and will be disclosed at a later date.
Stakelogic, widely recognized for its innovative slot and live casino products, is expected to play a central role in Sega Sammy’s broader entertainment strategy. The merger brings together Stakelogic’s creative development capabilities with Sega Sammy’s global distribution infrastructure.
“Joining forces with Sega Sammy Creation opens a new chapter for our organisation,” stated Stephan van den Oetelaar, CEO of Stakelogic. “We have always believed our studio could reach even greater heights and the great synergy between our teams is already driving new ideas that will benefit operators and players around the globe.”
Echoing this sentiment, Koichi Fukazawa, senior executive vice president and group CFO of Sega Sammy Holdings, remarked: “Stakelogic’s relentless drive for innovation perfectly complements our long-term strategy to deliver world-class entertainment experiences. Together, we will leverage our shared technology, talent and market expertise to create value that neither company could have achieved alone.”
Regulatory concerns resolved in Dutch court:
While the transaction has now reached completion, Sega Sammy had previously expressed reservations regarding certain compliance issues within Stakelogic’s operations—specifically alleged regulatory breaches in Japan and Turkey. These concerns temporarily clouded the acquisition process earlier in 2025. However, a ruling by the Amsterdam District Court dismissed Sega Sammy’s objections and instructed the firm to proceed with the purchase.
The acquisition of Stakelogic is part of a broader reorganization under Sega Sammy Creation. Alongside this deal, Sega Sammy had also announced its intention to acquire GAN Ltd., a U.S.-focused B2B and B2C software provider. That acquisition, revealed in November 2023, is also scheduled to close in Q2 2025.
As part of its ongoing restructuring, Sega Sammy Holdings is consolidating its gaming assets, including its 45% ownership stake in South Korea’s Paradise City casino resort, under SSC. This realignment aims to streamline operations and strengthen the group’s position in both land-based and digital gaming markets.
